2024 Review The Dew Sweepstakes (“Sweepstakes”)

Official Rules

NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE OR PAYMENT OF ANY KIND DOES NOT INCREASE YOUR CHANCE OF WINNING. VOID WHERE PROHIBITED.

1. SPONSOR:
   Morning Dew Tropical Plants (“Sponsor”), 601 N Congress Ave. Suite 436, Delray Beach, FL 33445. The Sweepstakes is in no way sponsored, endorsed, or administered by, or associated with Facebook, Google, or Yelp.
   
   
   
2. ELIGIBILITY:
   The Sweepstakes is open only to current and former wholesale tropical plant customers who have purchased from Sponsor within the last 24 months, who are legal residents of the fifty United States or District of Columbia, and who have reached the age of majority in their place of residence before the time of participation. Employees, contractors, officers, directors, and vendors of Sponsor; each of their respective parent, subsidiary, and affiliated companies; and advertising, fulfillment, and insurance agencies involved in the administration, development, fulfillment, or execution of this Sweepstakes (collectively, “Sweepstakes Parties”); and the Sweepstakes Parties’ immediate family (spouse, parents, step-parents, siblings, step-siblings, children, and step-children) and their household members (people who share the same residence at least three months per year) are not eligible. The Sweepstakes is subject to all applicable federal, state, and local laws and regulations, and is void where prohibited or restricted by law, including without limitation in New York, Rhode Island, and in jurisdictions requiring registration, filing, trust account, or posting of a bond, or any other requirements or disclosures that are not expressly satisfied by these Official Rules. Participation in the Sweepstakes constitutes Participant’s full and unconditional agreement to these Official Rules and all of Sponsor’s decisions relating in any way to the Sweepstakes, which are final and binding. Winning a prize is contingent upon fulfilling all requirements in these Official Rules.
   
   
   
3. SWEEPSTAKES PERIOD:
   The Sweepstakes begins on September 3rd 2024, at 12:01 a.m. Eastern Time and ends on October 1st 2024, at 11:59 p.m. Eastern Time (“Sweepstakes Period”). Sponsor’s computer is the official time-keeping device for the Sweepstakes.
   
   
   
4. HOW TO ENTER:
   Each Participant may receive up to 6 entries (each, an “Entry” and collectively “Entries”): one Entry is given for each method described below.

One Entry: click to “Like” the Morning Dew Tropical Plants Facebook page at https://www.facebook.com/morningdewtropical and notify Sponsor by email at [email protected] (Entry is a “Like Entry”).

One Entry: write a review on the Morning Dew Tropical Plants Facebook page at https://www.facebook.com/morningdewtropical/reviews/ and notify Sponsor by email at [email protected] (Entry is a “Review Entry”).

One Entry: click to “share” the Morning Dew Tropical Plants Facebook page at https://www.facebook.com/morningdewtropical and notify Sponsor by email at [email protected] (Entry is a “Share Entry”).

One Entry: write a review on Morning Dew Tropical Plants Google page at Google Reviews and notify Sponsor by email at [email protected] (Entry is a “Review Entry”).

One Entry: write a review on Morning Dew Tropical Plants Yelp page at YELP Reviews and notify Sponsor by email at [email protected] (Entry is a “Review Entry”).

Alternative Means of Entry: Participant receives one entry (“Mail Entry”) by sending a hand-written 3”x5” card with Participant’s name, company name, address, e-mail address, telephone number, and the subject line “2024 Review The Dew Sweepstakes.”  Limit one Entry if Participant enters by Mail Entry.

Entries must be received during the Sweepstakes Period to be included within the random drawing. Any attempt by Participant to manipulate the Sweepstakes in any way, including without limitation, actions that are illegal, immoral, dishonest, or in violation of the spirit of these Official Rules will void that Participant’s participation and that Participant will be disqualified. Use of any automated system to participate is prohibited and will result in disqualification. Review Entries where the review contains information that is false, untruthful, misleading, disparaging, or Sponsor is not responsible for Entries that are, in whole or in part, illegible, inaccurate, unintelligible, incomplete, damaged, irregular, altered, counterfeit, produced in error, sent through fraud or theft, lost, late, invalid, misdirected, or otherwise not received or counted by Sponsor, which will be disqualified. In the event of a dispute as to participation, the natural person whose information was used in performing the task to enter will be considered the Participant. Timing of Entry is the date and time the email is received by Sponsor.

5. TO WIN:
   The prize winner will be chosen by Sponsor in a random drawing conducted by Sponsor on or about  October 18th, 2024 from among all eligible, valid Entries received during the Sweepstakes Period.

Winner may be required to show proof of eligibility, and may be required to sign a release. If the criteria for awarding a specific Sweepstakes prize are not met, Sponsor is not required to award the specific Sweepstakes prize.

6. POTENTIAL WINNER VERIFICATION. ALL POTENTIAL WINNERS ARE SUBJECT TO VERIFICATION BY SPONSOR, WHOSE DECISIONS ARE FINAL AND BINDING. A PARTICIPANT IS NOT A WINNER OF ANY PRIZE, EVEN IF NOTIFIED AS A WINNER, UNLESS AND UNTIL PARTICIPANT’S ELIGIBILITY AND COMPLIANCE WITH THESE OFFICIAL RULES HAVE BEEN VERIFIED AND PARTICIPANT HAS BEEN NOTIFIED THAT VERIFICATION IS COMPLETE.
   
   
   

7. NOTIFICATION OF POTENTIAL WINNERS: 
   All Sweepstakes winners must comply with all terms and conditions of these Official Rules, and all winnings are contingent upon fulfilling all requirements. All potential winners must provide their valid contact information in order to receive their prize. The potential winners will be contacted either by phone, e-mail, in writing, or in person no later than two weeks (subject to change) after determination of potential winners to verify their eligibility. If Sponsor is unable to contact the potential winner within four days of its initial attempt, or if the potential winner fails to comply with any of these Official Rules or applicable terms and conditions, the potential winner’s place as a potential winner will be forfeited.
   
   
   
8. PRIZE:
   ONE (1) GRAND PRIZE: a one-time credit of up to $1,000.00 toward the purchase of wholesale tropical plants from Morning Dew Tropical Plants. This prize has no actual cash value and requires separate payment from Participant for freight with a carrier approved by Morning Dew Tropical Plants. Credit must be used by March 31th 2025, and must be used in a single order. Any amount not used in the single order is forfeited. Prize is nontransferable and cannot be redeemed for cash.

Chance of winning a Sweepstakes prize will be determined by the number of Participants. No prize will be given if Sponsor receives less than fifty Review Entries. No cash or other substitution, assignment, or transfer of any prizes is permitted, except by Sponsor, who reserves the right to substitute a prize or prize component with cash or another prize of comparable or greater value. Winner is responsible for all federal, state, and local taxes and fees associated with prize receipt and/or use. Prizes will be awarded “as is” with no warranty or guaranty, either express or implied, offered by Sponsor. It is the responsibility of the winner to supply correct shipping information and failure to do so may result in forfeiture of the prize. Limit one prize per person, and per customer for all contests and sweepstakes sponsored by Sponsor.

9. PUBLICITY:
   As a condition of entry into the Sweepstakes, except where prohibited by law, each Participant by entering and each prize winner by accepting a prize grants to the Sweepstakes Parties a perpetual, worldwide, royalty-free license and right to publicize, broadcast, display, and otherwise use the Participant’s name, city, state, biographical material, and Participant’s company’s name, city, state, and the content of any review (collectively, “Licensed Rights”), in any media now known or hereafter devised throughout the world in perpetuity for advertising and publicity purposes, without additional review, compensation, permission, or approval.
   
   
   
10. RELEASE:
    By participating in Sweepstakes or by receipt of any prize, all Participants and winners agree to release and hold harmless Sponsor; Facebook; Yelp; Google; and its and their respective parent, subsidiary, affiliate, and related companies; and all respective officers, directors, shareholders, employees, and agents (collectively “Released Parties”) from and against any losses, damages, rights, claim, or cause of action of any kind arising, in whole or in part, directly or indirectly, out of participation in the Sweepstakes or resulting directly or indirectly, from acceptance, possession, use, or misuse of any prize awarded in connection with the Sweepstakes, including without limitation personal injury, death, and/or property damage, as well as claims based on publicity rights, defamation, or invasion of privacy.
    
    
    
11. LIMITATIONS OF LIABILITY:
    

    The Released Parties are not responsible for: (1) any incorrect or inaccurate information, whether caused by Participants, printing errors, or by any of the equipment or programming associated with or utilized in the Sweepstakes; (2) technical failures of any kind, including without limitation malfunctions, failures, omissions, interruptions, or deletions relating to or in any way connected with the Sweepstakes; (3) unauthorized human intervention in any part of the participation process or the Sweepstakes; (4) technical or human error or limitations, which may occur in the administration of the Sweepstakes; (5) theft, tampering, destruction, or unauthorized access to, alteration of, or unavailability of prizes; or (6) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from Participant’s participation in the Sweepstakes or receipt or use of any prize or while traveling to or from any prize-related activity. If the Sweepstakes, or any part of it, is discontinued for any reason, Sponsor, at its sole discretion, may elect to not award any prizes or may hold a random drawing of the eligible Entries received up to the time of discontinuance to award the prizes. With the exception of sales tax and reasonable shipping costs, Sponsor’s obligation of payment for prizes may not exceed the stated approximate retail values. No more than the stated number of prizes will be awarded. In the event that human error, production, technical, seeding, programming, or any other reasons cause more than stated number of prizes in these Official Rules to be available or claimed, Sponsor reserves the right to award only the stated number of prizes to the Participants among all legitimate, un-awarded, eligible prize claims.
    
    

12. DISPUTES:
    Except where prohibited, Participant agrees that: (1) any and all disputes, claims, and causes of action arising out of or connected with the Sweepstakes or any prize awarded or not awarded will be resolved individually, without resort to any form of class action, and exclusively by the United States District Court for the District of Florida or the appropriate Florida State Court located in Palm Beach County, Florida; (2) all claims, judgments, and awards are limited to actual out-of-pocket costs incurred (not to exceed $10), including costs associated with entering the Sweepstakes, but in no event attorneys’ fees; and (3) under no circumstances will Participant be permitted to obtain awards for, and Participant waives all rights to claim, indirect, punitive, incidental, and consequential damages and any other damages, other than for actual out-of-pocket expenses (not to exceed $10), and any and all rights to have damages multiplied or otherwise increased. The laws of the State of Florida, without regard to any choice of law or conflict of law rules, govern all matters relating in any way to the Sweepstakes, including without limitation issues and questions concerning the construction, validity, interpretation, and enforceability of these Official Rules, or the rights and obligations of the Participant and Sponsor in connection with the Sweepstakes.
    
    
    
13. GENERAL CONDITIONS:
    Any attempt by a Participant to deliberately damage or undermine the legitimate operation of the Sweepstakes may be in violation of criminal and civil laws. Sponsor reserves the right to seek any and all remedies and damages (including attorney’s fees), from any such Participant to the fullest extent of the law, including criminal prosecution. By participating in the Sweepstakes, Participant warrants that he or she (1) has read and agrees to be bound by these Official Rules in their individual capacity and on behalf of their company; (2) meets the eligibility requirements; and (3) is not prohibited from participating in the Sweepstakes. Sponsor reserves the right, at its sole discretion, to abbreviate, cancel, terminate, modify, or suspend the Sweepstakes for any reason or no reason without notice or further obligation. Sponsor reserves the right, at its sole discretion, to disqualify any individual or group that tampers or attempts to tamper with the participation process or the operation of the Sweepstakes; violates the Official Rules; falsifies information; acts in an unsportsmanlike or disruptive manner; or acts with intent to annoy, abuse, threaten, or harass any other person.
    
    
    
14. WINNER LIST:
    Winner list requests will only be accepted after the Sweepstakes end date and no later than September 3rd, 2024. Requests received after October 1st, 2024, will not be fulfilled.
